Summary

These Terms and Conditions govern the use of the Hoolr platform by coaches, coachees, and other users.

Hoolr is a digital platform used to support coaching, mentoring, and leadership development programmes delivered by Taylor Clarke Partnership Limited and its clients.

These Terms apply to individual users of the platform.

Organisations that license or use the Hoolr platform may be subject to separate contractual agreements governing their use of the platform.

1. Introduction

1.1

The Hoolr platform supports the administration and delivery of coaching and mentoring programmes. This includes session scheduling, communication between participants and coaches, and the collection of feedback and programme insights.

1.2

The Hoolr platform is operated by Taylor Clarke Partnership Limited (“Taylor Clarke”, “we”, “us”, or “our”).

Hoolr Education Limited originally developed the platform technology and may provide technical services supporting the platform.

These Terms and Conditions replace any previous versions.

1.4

By registering on or using the Hoolr platform you agree to be bound by these Terms and Conditions.

If you do not agree with these Terms you should not use the platform.

1.5

If you use the platform on behalf of an organisation you confirm that you have authority to act on behalf of that organisation.

1.6

Important terms used in these Terms are defined in the Definitions section.

2. Platform Rights and Responsibilities

We aim to:

2.1 Provide and maintain the Hoolr platform and related services.

2.2 Provide tools that support coaching and mentoring programmes including communication features, session scheduling, and programme administration.

2.3 Communicate planned maintenance or service interruptions where reasonably possible.

2.4 Take reasonable steps to maintain platform security and reliability.

2.5 Take reasonable steps to protect personal data in accordance with our Privacy Policy.

2.6 Monitor platform usage where necessary to maintain platform integrity, prevent misuse, and support programme delivery.

2.7 Suspend or restrict access to the platform where necessary to protect the security or integrity of the service.

3. User Responsibilities

Users of the platform agree that they will:

3.1 Maintain the security of their account credentials.

3.2 Provide accurate and up-to-date information when creating or maintaining their account.

3.3 Not post or share material that is unlawful, defamatory, offensive, or otherwise inappropriate.

3.4 Not misuse the platform or attempt to interfere with the platform’s operation or security.

3.5 Respect the confidentiality of coaching conversations and information shared within programmes.

3.6 Notify us promptly if they believe their account has been compromised.

3.7 Use the platform in accordance with our Privacy Policy.

3.8 Not attempt to circumvent agreed programme arrangements or contractual relationships established through the platform.

3.9 Not attempt to gain unauthorised access to the platform, other user accounts, or the infrastructure supporting the platform.

Users must not introduce malicious software, attempt to probe system vulnerabilities, or otherwise interfere with the security or operation of the platform.

We reserve the right to suspend or terminate user access where these Terms are breached.

4. Participation in Coaching Programmes

The Hoolr platform may be used in different ways depending on the programme structure.

4.1 Some users participate in coaching programmes organised by employers, educational institutions, or other organisations.

4.2 In these cases the organisation sponsoring the programme may determine programme rules, coaching arrangements, and payment arrangements.

4.3 Coaching sessions delivered through the platform may be provided by independent coaches or as part of programmes organised by Taylor Clarke or client organisations.

4.4 Hoolr provides the platform infrastructure supporting coaching interactions but does not guarantee specific coaching outcomes.

4.5 Users should exercise their own judgement when interacting with other users on the platform.

5. Coach Responsibilities

Where users provide coaching services through the platform they agree that:

5.1 They are responsible for their own professional conduct and the services they provide.

5.2 They are not employees of Taylor Clarke unless explicitly stated otherwise.

5.3 They will provide accurate information about their qualifications, experience, and professional background.

5.4 They will comply with any professional standards applicable to their coaching practice.

5.5 They are responsible for ensuring they hold any required professional insurance.

5.6 They will use the platform in accordance with programme requirements and these Terms.

6. Payments

Payment arrangements may vary depending on the programme structure.

6.1 Some coaching programmes may involve payment processing through third-party payment providers.

6.2 Where payment processing services are used through the platform, they may be provided by third-party providers such as Stripe Payments Europe Ltd, and are subject to the relevant provider’s terms.

6.3 In many organisational programmes payments to coaches may be arranged directly between the sponsoring organisation, the coach, or Taylor Clarke outside the platform.

7. Cancellations

Where coaching sessions are scheduled through the platform:

7.1 Participants may cancel sessions in accordance with programme rules.

7.2 Coaches may cancel sessions where necessary and should notify participants as early as possible.

7.3 Specific cancellation policies may vary depending on the programme or organisation involved.

8. Complaints

If users experience issues relating to platform functionality or programme delivery they should contact the platform support team.

Where complaints relate to coaching services delivered by independent coaches, Taylor Clarke may assist with communication but may not be responsible for resolving disputes between participants and coaches.

9. Platform Availability

We aim to maintain the availability and reliability of the Hoolr platform.

However we cannot guarantee uninterrupted or error-free access at all times.

We may suspend access temporarily for maintenance, upgrades, or security reasons.

10. Limitation of Liability

Nothing in these Terms limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence.

To the extent permitted by law:

  • we are not liable for indirect or consequential losses

  • we are not liable for business losses such as loss of profits or reputation

  • users are responsible for their own use of the platform

Users agree to give us a reasonable opportunity to remedy any issue before seeking external remedies.

11. Intellectual Property

All intellectual property rights relating to the Hoolr platform, including software, branding, and content, remain the property of Taylor Clarke or its licensors.

Users grant a non-exclusive licence for us to store and process content they upload to the platform for the purpose of operating the service.

12. Changes to these Terms

We may update these Terms and Conditions from time to time.

Where significant changes are made we will publish the updated version on the platform.

Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms and any dispute arising in connection with them shall be governed by Scottish law.

The courts of Scotland shall have exclusive jurisdiction.

14. Definitions

Coach

A user who provides coaching services through the platform.

Coachee / Participant

A user who receives coaching services through the platform.

User

Any individual who accesses or uses the platform.

Platform

The Hoolr coaching and mentoring platform including associated websites and services.

Organisation

An employer, institution, or organisation using the platform to administer coaching programmes.

The courts of Scotland shall have exclusive jurisdiction.
